Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the BadBeat.tv website, applications, and related services (collectively, the "Service") operated by Hand2Note Software Ltd. ("BadBeat.tv", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
1. Description of the Service
BadBeat.tv provides live poker stream schedules and embedded broadcasts, poker player statistics and analytics, hand histories, leaderboards, highlights, and related editorial content. The Service is provided for informational and entertainment purposes only.
BadBeat.tv is not a gambling operator. We do not offer poker games, accept wagers, hold player funds, or facilitate gambling. Hand histories, statistics, and analytics are compiled from publicly available poker broadcasts and related sources using manual and automated processes. They may contain errors or omissions and are not poker, financial, or wagering advice. If you believe information concerning you is inaccurate, contact us at support@badbeat.tv.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to create an account or purchase a subscription. By using the Service, you represent and warrant that you meet this requirement and that your use of the Service does not violate any law or regulation applicable to you.
3. Accounts
Certain features require an account. Account registration, security, and personal-use requirements are set out in our User Agreement. You are responsible for activity under your account and must notify us promptly at support@badbeat.tv if you suspect unauthorized access.
4. Subscriptions and Payments
Some features of the Service are available only with a paid subscription. By purchasing a subscription, you agree to the following:
- Subscription fees and the applicable billing period are shown at checkout and billed in advance. You are responsible for applicable taxes unless checkout states that they are included.
- Unless otherwise stated, subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your profile page; cancellation takes effect at the end of the current billing period.
- Payments are processed by Stripe or another payment provider identified at checkout. We do not receive or store your full payment card number.
- Refunds are governed by our Refund Policy and any mandatory rights under applicable law.
- We may change subscription pricing by giving reasonable advance notice. A price change applies no earlier than your next renewal after the notice period.
5. Acceptable Use
You must comply with our User Agreement, which contains the Service's acceptable-use and conduct rules. A material violation of the User Agreement is a material breach of these Terms. You may not reverse engineer, decompile, or disassemble any part of the Service except to the extent applicable law expressly permits you to do so.
6. Intellectual Property
The Service and its contents — including software, design, text, graphics, logos, compilations of statistics, and analytics — are owned by BadBeat.tv or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use. No other rights are granted.
7. Third-Party Content and Links
The Service embeds or links to content hosted by third parties, including video platforms such as YouTube and streaming services operated by poker rooms and broadcasters. Such content is subject to the terms and policies of the respective third party. We do not control and are not responsible for third-party content, and the inclusion of any link or embed does not imply our endorsement. Player names, poker room names, and broadcast footage referenced on the Service belong to their respective owners.
8. Availability and Changes to the Service
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, security incidents, internet failures, and unavailable third-party broadcasts or services may interrupt access. We may modify, suspend, or discontinue parts of the Service. If we materially reduce a prepaid subscription during its current billing period, any cancellation or refund rights are governed by our Refund Policy and applicable law.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY STATISTICS, ANALYTICS, OR OTHER DATA PRESENTED ON THE SERVICE ARE ACCURATE, COMPLETE, OR CURRENT, AND SUCH DATA MUST NOT BE RELIED UPON FOR ANY FINANCIAL OR WAGERING DECISION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BADBEAT.TV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND CAD $100. THESE EXCLUSIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING ANY RIGHTS AVAILABLE TO YOU UNDER MANDATORY CONSUMER PROTECTION LAW.
11. Indemnification
To the extent permitted by law, you agree to indemnify BadBeat.tv and its officers, directors, employees, and agents against third-party claims, liabilities, damages, and reasonable legal expenses arising directly from your unlawful misuse of the Service or material violation of these Terms. This obligation does not apply to the extent a claim results from our own acts or omissions.
12. Termination
We may suspend or terminate your access, including your account, if you materially breach these Terms, the User Agreement, or applicable law, or if suspension or termination is reasonably necessary to protect the Service or other persons. Where appropriate, we will give you notice and an opportunity to remedy the breach. You may stop using the Service and cancel an active subscription at any time. You may request account closure by contacting support@badbeat.tv. Sections 6, 9, 10, 11, 14, and 15 survive termination.
13. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least 14 days before they take effect, unless a change must take effect sooner for legal or security reasons. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel your subscription; any refund rights are governed by our Refund Policy and applicable law.
14. Governing Law and Disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Before starting formal proceedings, please contact support@badbeat.tv so that we can attempt to resolve the dispute. Subject to any mandatory right to bring a claim elsewhere, disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada. Nothing in this section limits mandatory consumer protections available under the laws of your place of residence.
15. General
These Terms, together with the User Agreement, Refund Policy, and Cookie Policy, constitute the agreement between you and BadBeat.tv concerning the Service. If a provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms or transfer your account without our written consent. We may assign these Terms in connection with a merger, reorganization, financing, or sale of all or part of our business.
